This Terms of Service Agreement ("Agreement") is entered into by and between you ("User") and Layoff Lookout, Inc. ("Layoff Lookout," "we," "us," or "our"), a company duly incorporated under the laws of the United States, for the use of the Layoff Lookout website and associated services (collectively, the "Services").
By using the Services, you agree to be bound by the terms and conditions set forth in this Agreement. If you do not agree to these terms and conditions, you may not access or use the Services.
SERVICES
1.1 Layoff Lookout is a platform that aggregates Worker Adjustment and Retraining Notification ("WARN") notices and provides job security information by comparing such notices to User-provided data. Users may receive notifications regarding potential layoffs based on the collected information.
1.2 Layoff Lookout reserves the right to modify, suspend, or discontinue the Services at any time, with or without notice.
USER DATA AND PRIVACY
2.1 By using the Services, you consent to the collection, use, and disclosure of your personal information in accordance with our Privacy Policy, which is incorporated herein by reference. You acknowledge and agree that we may sell or share your data with third parties for marketing or other purposes, subject to the terms of the Privacy Policy.
DISCLAIMER OF WARRANTIES AND LIMITATION OF LIABILITY
3.1 The Services are provided on an "as-is" and "as-available" basis. Layoff Lookout makes no representations or warranties of any kind, express or implied, concerning the accuracy, completeness, or reliability of the information provided on or through the Services. You expressly agree that your use of the Services is at your sole risk.
3.2 In no event shall Layoff Lookout, its affiliates, officers, directors, employees, or agents be liable for any direct, indirect, incidental, special, consequential, or punitive damages, including, but not limited to, loss of profits, goodwill, use, data, or other intangible losses, resulting from (i) the use or inability to use the Services; (ii) any inaccuracies, errors, or omissions in the information provided by the Services; or (iii) any failure to notify Users of potential layoffs, whether or not a WARN notice was issued, even if advised of the possibility of such damages.
INDEMNIFICATION
You agree to indemnify, defend, and hold harmless Layoff Lookout, its affiliates, officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, or expenses, including reasonable attorneys' fees and costs, arising out of or in any way connected with your access to or use of the Services.
GOVERNING LAW AND DISPUTE RESOLUTION
5.1 This Agreement shall be governed by and construed in accordance with the laws of the United States and the State of Vermont, without regard to its conflict of laws provisions.
5.2 Any disputes arising out of or in connection with this Agreement shall be resolved through good-faith negotiations between the parties. If such negotiations fail to resolve the dispute, the parties agree to submit the dispute to binding arbitration in accordance with the rules of the American Arbitration Association.
MISCELLANEOUS
6.1 This Agreement constitutes the entire agreement between the parties concerning the subject matter hereof and supersedes all prior or contemporaneous understandings, agreements, negotiations, representations, and warranties, whether oral or written.
6.2 If any provision of this Agreement is found by a court of competent jurisdiction to be invalid, the parties nevertheless agree that the court should endeavor to give effect to the parties' intentions as reflected in the provision, and the other provisions of the Agreement shall remain in full force and effect.
6.3 The failure of Layoff Lookout to exercise or enforce any right or provision of this Agreement shall not constitute a waiver of such right or provision.
6.4 You may not assign this Agreement without the prior written consent of Layoff Lookout. Layoff Lookout may assign this Agreement without restriction.
6.5 Any notices or other communications required or permitted hereunder shall be in writing and shall be deemed given when delivered personally, by email, or by a nationally recognized overnight courier service, addressed to the parties at their respective addresses set forth in this Agreement or at such other address as may be designated in writing by a party to the other party.
6.6 Nothing in this Agreement shall be construed as creating a partnership, joint venture, or agency relationship between the parties. Each party shall be an independent contractor in the performance of its obligations hereunder.
6.7 No provision of this Agreement is intended, nor shall any provision be interpreted, to provide or create any third-party beneficiary rights or any other rights of any kind in any person or entity not a party to this Agreement, except as expressly provided in this Agreement.
